Terms and conditions

Between us (Storyhouse Creatives Ltd) and you (<COMPLETE>)

Summary:

Everyone at Storyhouse will always do their best to fulfil your needs and meet your expectations, but it’s important to have things written down so that we both know who should do what and when, and what will happen if something goes wrong. In these terms and conditions you won’t find any complicated legal terms or long passages of unreadable text. All we want is what’s best for both parties, now and in the future.

So in short; You <COMPLETE>, are hiring us, Storyhouse Creatives Ltd to <COMPLETE> based on the scope outlined in this proposal.

What do both parties agree to do?

You: You have the authority to enter into this contract on behalf of yourself, your company or your organisation. You’ll give us everything we need to complete the project as and when and in the format we need it. You’ll review our work, provide feedback and approval in a timely manner too. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule set out in this contract.

Us: We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavour to meet every realistic deadline that’s set and on top of that we’ll maintain the confidentiality of everything you give us.

General Terms and Conditions

The following terms and conditions apply to all services provided by Storyhouse Creatives to the client. Please read these terms and conditions carefully, as any purchase or use of our services implies that you have read and accepted our terms and conditions.

Content

All text content provided by you should be finalised, proof read and free of spelling mistakes. We cannot be held responsible for any text content that is incorrect being used. Any requests to change content will be charged at our hourly rate of £50 per hour.

All content supplied by you must either be your property or used with permission of the original owner. We cannot be held responsible for any supplied content that breaks copyright law being used. Any requests to remove copyrighted content will be charged at my hourly rate of £50 per hour.

Changes

We don’t want to limit your ability to change your mind. Our quote is based on the length of time we think we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate quote for that.

Any additional work not within the scope of our quote will be charged at our standard rate of £50 per hour. This will always be communicated to you before any additional work is commenced.

Cancellation

We always aim to resolve any problems that may come up during a project. But if either the client or Storyhouse Creatives wish to cancel the project due to irreconcilable differences you will be supplied with an invoice for an amount proportional for the work we have completed up to the point of cancellation. Any assets supplied by yourself remain your property and all assets created by us remain our property.

A 100% cancellation fee is due once the project has been finished, whether delivered to the client or not.

Annual services (Such as Hosting and Website Content Updates and Maintenance Service) are 12 month agreements billed annually. There will be no refunds or credits for months unused if the service is cancelled before the end of the 12 month period.

Project Continuity

In the event of a prolonged illness or death Storyhouse Creative has an agreement with an established network of talented professionals who will continue your project seamlessly. This backup plan has been arranged to mitigate the risk of major disruptions to your project in the event of a serious situation arising.

Delays

In the event that the time spent waiting for feedback or sign off surpasses 21 days, the project will be declared as on hold. We will send you an invoice for an amount proportional for the work we have completed up to the point of the delay for any time spent thus far on the project and work shall continue at your request once the invoice has been paid.

Hours of Contact

We are typically available for contact between the hours of 9am and 5pm, Monday to Friday. We’ll always try to reply to any emails or phone calls received during this time by the next working day.

Copyright

First, you guarantee that all elements of text, images or other artwork you provide are either owned by yourselves, or that you’ve got permission to use them.

Then, when your final payment has cleared, copyright will be automatically assigned as follows:

You’ll own all elements of text, images and data you provided, unless someone else owns them.

You’ll own the unique combination of these elements that constitutes a complete design. You will also own any branded elements created for this project that have been agreed and adopted by yourself.

Code assets (Any HTML, CSS or Javascript files) will be licensed for use to you, exclusively and in perpetuity for this project only, they cannot be duplicated to other projects without prior consent or an additional, agreed payment.

We love to show off our work and share what we’ve learned with other people, so we reserve the right to display and link to your project as part of our portfolio and to write about it on websites, in magazine articles and in books.

We will support you in your work to trademark or otherwise copyright any aspects of the brand, if that process takes us outside the initial project scope our time will be billed at £50 per hour to support you in this matter.

Browser testing (where applicable)

Testing across popular web browsers and small-screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using.

We build websites to work in modern desktop and mobile web browsers including; Google Chrome, Mozilla Firefox, Apple Safari, Apple iOS and Android.

We do not support outdated browsers such as Internet Explorer. We can also provide a separate quotation for adding support for IE11, but this will not provide the same experience as on modern browsers.

We also don’t test Blackberry, Opera Mini/Mobile, Windows Phone or other mobile browsers. If required to test using these, we can provide a separate quotation.

The Client agrees that Storyhouse Creatives cannot guarantee correct functionality with all browser software across different operating systems. Storyhouse Creatives cannot accept responsibility for web pages which do not display acceptably in newer versions of browsers released after the website have been designed and handed over to the client.

Domain Names (where applicable)

Storyhouse Creatives Ltd may purchase domain names on behalf of the client (although we would suggest you manage this process). Payment and renewal of these domain names is the responsibility of the client. The loss, cancellation or otherwise of the domain brought about by non or late payment is not the responsibility of Storyhouse Creatives. The client should a record of the due dates of payment to ensure that payment is received in good time.

Search Engine Rankings (where applicable)

We endeavour to build all our websites with semantic, meaningful HTML tags which can easily be read by search engine spiders. However, we can in no way guarantee that any website we build will automatically rank highly for any particular key word terms or phrases. With any large scale website changes, it is natural for search rankings to drop immediately after upload whilst the new code base is re-indexed by Google and the other search engines. This will build up again over time.

Warranty and Ongoing Support

Once the site is live we will ensure the web site retains all its functionality and conforms to the specifications during the initial 12 months. This does not include errors caused by changes to the site by the client. Or if elements stop working due to the third party making updates. We cannot be held responsible for any resulting issues. Any requests to investigate broken third party services after the website has gone live will be charged at our standard hourly rate of £50 per hour.

We highly recommend our website content updates and maintenance service for on going care. A healthy website needs updates and optimisation on a regular basis.

Your Privacy

We value your privacy as much as we do our own, so we're committed to keeping your personal and business information safe. We’ll never use your personal information for any reason other than why you gave it, and we’ll never give anyone access to it unless forced to by law.

We'll only use your information to correspond with you on prospective and active projects as well as to send you invoices, statements, or reminders.

Payment terms

We’re sure you understand how important it is as a small business that you pay the invoices that we send promptly.

All proposals are valid for 30 days.

A 33% deposit is due before commencement, to book the project into our schedule. We require payment of 33% of the project fee at a mutually agreed mid point of the project. The final 33% is due upon completion.

Only upon receipt of the deposit will a project will be booked in and a schedule agreed.

Payment should be via bank transfer.

The deposit is due in advance of any services provided.

All other invoices are payable within 30 days of receipt.

Any annual services purchased (Such as Hosting, Website Content Updates and Maintenance Service) are entered into for an initial twelve (12) month contractual term of service (“Term”).

We will inform you 30 days before this agreement is due for renewal. Renewal prices are subject to change. Renewal of services by client indicates agreement to any contract revisions and price changes.

Default in payment

A 5% service charge is payable on all overdue balances for reissuing invoices. The grant of any license or right of copyright is conditioned on receipt of full payment.

Additional Work

Additional work for components that don't appear in the scope of work will be charged at our standard rate of £50 per hour (e.g. beyond the number of revisions described). This will always be communicated to you before any additional work is commenced.

New components that are not described in the scope of work will be assessed in a new proposal.

The cost outlined is made on the basis that the assets required for the job will be supplied ready for use. Extra work undertaken on supplied assets will incur additional costs.

Additional expenses

Client agrees to reimburse Storyhouse Creatives for any additional expenses necessary for the completion of the work. Including but not limited to stock photography, custom photography, content creation, purchases of special fonts, and or material needed for the project.

All projects are subject to our full terms & conditions.

Legal stuff

We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.

But where’s the small print?

You can’t transfer this contract to anyone else without our permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.

Modifications of the terms of this contract must be written and authorized by both parties, involving the implementation of a new version of the contract as a whole following standard procedures of documentation and approval.

Although the language is simple, the intentions are serious and this contract is a legal document under exclusive jurisdiction of English courts.
